1. Scope

These Terms & Conditions apply to all offers, quotations, sales, deliveries and other business transactions between:

and its business customers.

These Terms & Conditions apply exclusively to business-to-business transactions (B2B).

We do not conclude contracts through this website with consumers acting primarily for private purposes.

2. Business Customers Only

Our products and services are intended exclusively for entrepreneurs, companies, traders, wholesalers, distributors, retailers and other commercial customers.

By placing an order, requesting a quotation or creating a business customer account, the customer confirms that the transaction is made for commercial or professional purposes.

We may request appropriate proof of business activity, including company registration details, VAT identification numbers or other documentation.

3. Offers and Conclusion of Contract

Product presentations, stock lists, catalogues, price lists and information published on our website do not constitute a legally binding offer unless expressly stated otherwise.

They are an invitation to submit an order or request for quotation.

A contract is concluded only when we expressly accept the customer's order, issue an order confirmation or invoice, or dispatch the goods.

Quotations are subject to availability unless expressly confirmed otherwise.

Individual written agreements take precedence over these Terms & Conditions.

4. Products and Stock Availability

Logi Stock Trading GmbH specialises in wholesale, stock trading, surplus stock, liquidation stock, overstock, special offers and international B2B trading.

Stock quantities may therefore be limited and may change at short notice.

All products are subject to prior sale and availability.

Unless expressly guaranteed in writing, displayed quantities do not constitute a guarantee that the complete quantity will remain available until the order has been confirmed.

Product images may be illustrative. Minor differences in packaging, colour, labelling, production batches or manufacturer packaging may occur where they do not materially affect the agreed product.

The agreed condition and product description stated in our quotation, order confirmation or invoice shall prevail.

5. Minimum Order Quantities

Minimum order quantities or minimum purchase units may apply.

Where a product is offered by pallet, lot, batch, container or other commercial unit, the applicable sales unit shown in the quotation, product page or order confirmation shall apply.

Unless otherwise agreed, partial quantities do not have to be accepted by Logi Stock Trading GmbH.

6. Prices

Unless expressly stated otherwise, all prices are net prices excluding VAT, shipping, freight, customs duties, import taxes and other additional costs.

The applicable VAT will be added where legally required.

For intra-Community supplies, exports or other tax-exempt transactions, the customer must provide all information and documentation required to establish the applicable tax treatment.

If the requirements for tax exemption are subsequently not fulfilled, the customer shall reimburse taxes and charges for which Logi Stock Trading GmbH becomes liable, insofar as legally permissible.

7. Payment

Payment terms are specified in the respective quotation, pro forma invoice, invoice or order confirmation.

Unless otherwise agreed in writing, we may require payment in advance.

The customer is obliged to pay invoices within the agreed payment period and without unauthorised deductions.

Bank charges and other transaction costs charged by the customer's bank shall be borne by the customer unless otherwise agreed.

We reserve the right to suspend deliveries if due payments have not been received.

8. Delivery and Shipping

Delivery conditions, shipping costs, collection arrangements and delivery dates are agreed individually for each transaction.

Depending on the transaction, deliveries may be arranged under agreed Incoterms such as:

EXW, FCA, FOB, CFR, CIF or other agreed delivery terms.

The Incoterm and version expressly stated in our quotation, invoice or order confirmation shall apply.

Delivery dates are binding only if expressly confirmed as binding in writing.

Partial deliveries are permitted where reasonable for the customer.

9. International Deliveries and Export

For international transactions, the customer is responsible for checking whether the products may legally be imported, marketed, distributed or resold in the destination country, unless Logi Stock Trading GmbH expressly assumes this responsibility in writing.

The customer is responsible for destination-country requirements such as:

  • Import licences

  • Product registrations

  • Local labelling requirements

  • Customs duties

  • Import taxes

  • Product-specific permits

  • Local conformity requirements

  • Resale restrictions

Logi Stock Trading GmbH may assist with commercial invoices, packing lists, export declarations, certificates of origin, transport documents or other export documentation where agreed.

Additional costs for special documents, certificates, inspections or legalisations may be charged separately.

10. Transfer of Risk

The transfer of risk depends on the agreed delivery terms and, where applicable, the agreed Incoterm.

Where the customer collects the goods or commissions the carrier, the risk may transfer to the customer when the goods are handed over in accordance with the agreed delivery condition.

The individually agreed delivery condition takes precedence.

11. Inspection of Goods and Notification of Defects

Business customers must inspect delivered goods promptly after receipt.

Where Section 377 of the German Commercial Code (HGB) applies, the customer must inspect the goods without undue delay after delivery and notify us without undue delay of any identifiable defect or discrepancy.

Transport damage, incorrect quantities or visible defects should be documented immediately with photographs, delivery documents and, where applicable, remarks on the CMR or carrier delivery receipt.

Hidden defects must be reported promptly after discovery.

12. Defects and Warranty

The agreed product description and expressly agreed condition of the goods determine whether the goods conform to the contract.

For stock, surplus, liquidation, clearance, returned, B-stock or specially described goods, characteristics expressly disclosed before conclusion of the contract form part of the agreed condition.

Claims based solely on characteristics that were expressly disclosed and accepted before purchase are excluded to the extent permitted by law.

The limitation period for claims for defects is 12 months from delivery, insofar as such limitation is legally permissible.

This limitation does not apply where mandatory law requires a longer period or in particular in cases of:

  • Intentional misconduct

  • Fraudulent concealment of a defect

  • Express guarantees

  • Injury to life, body or health

  • Liability that cannot legally be limited

We may, at our discretion and where legally permissible, remedy a justified defect by repair or replacement.

13. No Consumer Right of Withdrawal

All transactions are B2B transactions.

A statutory consumer right of withdrawal does not apply to contracts concluded exclusively with entrepreneurs acting in the course of their commercial or professional activities.

Orders confirmed by us are therefore binding.

Returns or cancellations require our prior written approval unless the customer has a mandatory legal right to cancel or return the goods.

Unauthorised returns may be refused.

14. Retention of Title

Goods remain the property of Logi Stock Trading GmbH until full payment of the relevant claims has been received.

Where legally permissible, retention of title also applies to goods that the customer resells in the ordinary course of business, subject to the applicable statutory provisions and any separately agreed extended retention-of-title provisions.

15. Liability

Logi Stock Trading GmbH is liable without limitation where liability cannot legally be excluded or restricted, in particular for intentional misconduct and for injury to life, body or health.

In cases of gross negligence, liability shall be governed by applicable law.

For simple negligence, we are liable only for breaches of material contractual obligations where fulfilment of those obligations is essential for proper performance of the contract and the customer may regularly rely on their fulfilment.

In such cases, liability is limited to foreseeable damage typical for the contract, insofar as legally permissible.

Mandatory statutory liability remains unaffected.

16. Force Majeure

We shall not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control.

Such circumstances may include, in particular:

  • Natural disasters

  • War or armed conflict

  • Government restrictions

  • Export or import restrictions

  • Sanctions

  • Strikes

  • Transport interruptions

  • Port closures

  • Carrier delays

  • Supply-chain disruptions

  • Energy shortages

  • Epidemics or pandemics

  • Cyber incidents affecting essential infrastructure

Affected delivery periods may be extended for the duration of the disruption where legally permissible.

If performance becomes permanently impossible or unreasonable, the affected party may have the rights provided by applicable law.

17. Product Resale

Unless expressly agreed otherwise, customers purchase goods for their own commercial use or resale.

The customer is responsible for ensuring that its resale activities comply with applicable national and international laws.

Any territorial, trademark, distribution or marketplace restrictions expressly communicated before the transaction must be observed by the customer.

18. Intellectual Property

Product names, trademarks, logos and manufacturer images may be protected by intellectual property rights belonging to their respective owners.

The purchase of goods does not automatically grant the customer any additional rights to use trademarks, copyrighted materials, marketing content or manufacturer images beyond rights available under applicable law.

19. Data Protection

Personal data is processed in accordance with our Privacy Policy, available separately on our website.

20. Governing Law

The contractual relationship shall be governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules to the extent legally permissible.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded unless the parties expressly agree otherwise in writing.

21. Place of Jurisdiction

Where legally permissible, the place of jurisdiction for disputes arising from or in connection with the business relationship shall be the competent court at the registered office of Logi Stock Trading GmbH.

Mandatory statutory places of jurisdiction remain unaffected.

22. Severability

If any provision of these Terms & Conditions is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected.

The applicable statutory provision shall take the place of an invalid provision.
